Terms of Service

These Terms describe the conditions that apply to institutional and authorised-user access to RaphaelLinkSphere.

1. Operator and service

RaphaelLinkSphere (RLS) is currently operated by Steven Martin Ryan Venter, an individual based in South Africa.

Fraener Digital may appear as a payment-provider or storefront label. It is not a registered legal entity and is not the legal owner or operator of RLS.

These Terms apply to access to and use of the RLS platform and configured services unless different written terms have been agreed for a particular institution, order or service.

2. Institutional use

RLS is intended primarily for schools and other authorised institutions. Access may be provided to staff, learners, parents, guardians and other authorised users through an institution environment.

The institution is responsible for ensuring that it has appropriate authority to create or authorise accounts, provide institutional records, assign roles and permit use of enabled services.

RLS is not intended as a direct-to-minor consumer contracting service. Learner access is provided as part of the relevant institution environment.

3. Accounts, roles and access

Users must provide accurate information where required, protect their account credentials and use only the access, institution, role and permissions assigned to them.

Users must not attempt to access another institution, account, record, file, role, administrative function or protected workflow without proper authority.

Institutions are responsible for maintaining appropriate membership and role assignments and for reviewing access when responsibilities change.

4. Licensing, plans and enabled modules

Access to RLS may depend on the applicable licence tier, order, enabled modules, user or capacity limits and deployment arrangements agreed for the institution.

Public descriptions of Basic, Professional and Enterprise licensing are summaries. Final availability, module access, limits, commercial terms and deployment scope are determined by the applicable order or agreed plan terms.

Features may require configuration, third-party services or institution-specific setup before they become available.

5. Acceptable use

RLS must not be used to violate applicable law, unlawfully access or disclose information, interfere with platform security, introduce malicious code, impersonate another person, bypass access controls or use the service in a way that materially harms other users, institutions or platform operations.

Institutions and users remain responsible for the legality, accuracy and appropriateness of information and instructions they provide through the platform.

6. Institutional and learner records

Schools and institutions control the institutional, staff, parent and learner records supplied through their RLS environment. RLS processes those records to provide the platform and configured services.

Use of personal information is also governed by the RLS Privacy Policy and applicable institutional requirements.

7. Raphael and AI-assisted functionality

RLS may provide governed AI-assisted features, including Raphael functionality, where enabled. AI-generated material can be incomplete, inaccurate or unsuitable for a particular decision and should be reviewed by an appropriately authorised person where the workflow requires human judgement.

AI-assisted functionality does not replace institutional, professional, safeguarding, academic or legal responsibility. Availability may depend on configuration, provider availability and platform governance controls.

8. Third-party services

RLS may depend on third-party infrastructure or services for functions such as hosting, databases, storage, communications, payments and enabled AI capabilities.

Third-party services may be subject to their own terms, availability and technical limitations. RLS does not control every third-party service or guarantee uninterrupted availability of services outside its control.

9. Fees, payments, cancellation and refunds

Where fees apply, pricing, billing periods, licence scope and payment arrangements are determined by the applicable RLS order, plan or checkout terms.

Payments may be processed by a third-party payment provider. Relevant payment-provider terms may also apply to the transaction.

Cancellation and refund rights are governed by the applicable RLS order or plan terms, relevant payment-provider terms and any rights or remedies that cannot lawfully be excluded. These Terms do not create a guaranteed refund entitlement and do not remove rights that apply under applicable law.

10. Service availability and changes

RLS may be updated, maintained, improved or changed over time. Individual features may be modified where reasonably required for security, reliability, platform development, provider changes or operational needs.

RLS does not promise that every feature or third-party dependency will be continuously available without interruption. Reasonable efforts are made to maintain reliable service and to address material operational issues.

11. Intellectual property

RLS software, platform design, branding, documentation and original platform materials remain protected by applicable intellectual-property rights unless expressly stated otherwise.

Institutions and users retain their rights in content and records they lawfully provide to RLS. They grant the permissions reasonably necessary for RLS to process that content for the purpose of providing the configured service.

12. Suspension and termination

Access may be restricted or suspended where reasonably necessary to protect security, investigate misuse, enforce applicable licence or access limits, respond to legal requirements, address material non-payment or protect the platform and its users.

Termination, account closure, data handling and transition obligations may also be governed by the applicable institutional order or plan terms.

13. Responsibility and legal limitations

RLS is a technology platform and does not replace the professional judgement, legal duties, safeguarding responsibilities, academic authority or operational responsibilities of an institution or its authorised personnel.

To the extent permitted by applicable law, responsibility for loss or damage will be determined in accordance with the applicable order, these Terms and the circumstances of the claim. Nothing in these Terms excludes or limits a right, remedy or liability that cannot lawfully be excluded or limited.

14. Governing law

These Terms are governed by the laws of South Africa, subject to any mandatory legal rights or rules that apply regardless of this provision.

15. Changes to these Terms

These Terms may be updated when the platform, operating arrangements, commercial model or applicable requirements change. The current version will be published on this page.
